Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Seamline platform and services (“Service”) operated by Digital Nexus Inc., a Delaware corporation (“Digital Nexus,” “Seamline,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
Seamline is a software-as-a-service (SaaS) platform that enables businesses to manage custom apparel operations, including but not limited to:
- customer and workspace management
- design requests and approvals
- production workflows
- vendor coordination
- digital asset storage
- team store creation and management
- integrations with third-party services, including payment processors
Seamline provides software infrastructure only. Seamline does not manufacture, sell, or fulfill physical goods.
2. Eligibility and Authorized Use
The Service is intended for use by:
- businesses
- organizations
- and authorized representatives acting on their behalf
You must be at least 18 years old and have authority to bind the business or organization you represent.
You may not use the Service for personal consumer use unrelated to a business or organization.
3. Account Registration and Responsibility
To use the Service, you must create an account.
You agree to:
- provide accurate and complete information
- maintain the security of your account credentials
- restrict access to authorized users only
- promptly notify us of unauthorized access
You are responsible for all activity that occurs under your account.
Seamline is not responsible for losses caused by unauthorized account access resulting from your failure to maintain security.
4. Workspace Ownership and Administration
Each Seamline account operates within a “Workspace.”
The Workspace owner:
- controls access permissions
- manages users
- controls integrations
- is responsible for all activity within the Workspace
Seamline is not responsible for disputes between Workspace users.
5. Subscription Fees and Billing
Access to certain features requires a paid subscription.
You agree to pay all applicable fees.
Fees may include:
- monthly or annual subscription fees
- usage-based fees
- transaction-based fees
- platform fees
All fees are non-refundable except as required by law.
We may change pricing with reasonable notice.
Continued use of the Service constitutes acceptance of updated pricing.
6. Stripe Connect and Payment Processing
Seamline integrates with third-party payment processors, including Stripe Connect.
By connecting a Stripe account, you agree to:
Seamline:
- does not process payments directly
- does not hold customer funds
- is not the merchant of record
- does not control payment authorization, settlement, refunds, or disputes
All financial transactions are handled directly between you and Stripe.
Seamline is not responsible for:
- payment disputes
- chargebacks
- refunds
- payment failures
- or financial losses related to Stripe accounts
You are solely responsible for your Stripe account and financial obligations.
7. Customer Data Ownership
You retain all ownership rights to data you upload, submit, or create using the Service (“Customer Data”).
Customer Data includes, but is not limited to:
- customer information
- design files
- artwork
- production specifications
- product data
- and business records
Seamline does not claim ownership of Customer Data.
8. License Grant to Seamline
You grant Seamline a limited, non-exclusive, worldwide license to:
- host
- store
- process
- transmit
- and display Customer Data
solely for the purpose of providing and improving the Service.
This license ends when your account is terminated, subject to reasonable backup retention.
9. Intellectual Property Ownership
Seamline and its software, including:
- code
- interfaces
- workflows
- designs
- features
- trademarks
- and branding
are the exclusive property of Digital Nexus Inc.
You may not:
- copy
- modify
- reverse engineer
- distribute
- or create derivative works
without written permission.
10. User Content Responsibility
You are solely responsible for all content uploaded to the Service.
You represent and warrant that you have all rights necessary to upload and use your content.
You may not upload content that:
- violates intellectual property rights
- is unlawful
- is fraudulent
- is harmful or malicious
Seamline is not responsible for user content.
11. Acceptable Use Restrictions
You agree not to:
- use the Service for illegal purposes
- interfere with Service operation
- attempt unauthorized access
- distribute malware
- abuse system resources
- use automated scraping without permission
We reserve the right to suspend accounts violating these restrictions.
12. Third-Party Services
Seamline integrates with third-party providers including:
- Stripe
- Supabase
- hosting providers
- email providers
Seamline is not responsible for third-party service failures or actions.
Your use of third-party services is governed by their terms.
13. Service Availability
Seamline strives to provide reliable access but does not guarantee uninterrupted availability.
The Service is provided on an “as available” basis.
We may:
- modify features
- suspend service
- perform maintenance
without liability.
14. Data Security
We implement reasonable security measures to protect Customer Data.
However, no system is completely secure.
You acknowledge and accept this risk.
15. Confidentiality
We will not access or disclose Customer Data except:
- to provide the Service
- as required by law
- or with your permission
16. Termination
You may terminate your account at any time.
We may suspend or terminate accounts that:
- violate these Terms
- pose security risks
- or create legal liability
Upon termination, access to the Service will be disabled.
17. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.”
We make no warranties, express or implied, including:
- merchantability
- fitness for a particular purpose
- non-infringement
We do not guarantee uninterrupted or error-free operation.
18. Limitation of Liability
To the maximum extent permitted by law:
Digital Nexus Inc. shall not be liable for:
- indirect damages
- incidental damages
- consequential damages
- loss of profits
- loss of data
- business interruption
Our total liability shall not exceed the amount paid by you to Seamline in the twelve (12) months preceding the claim.
19. Indemnification
You agree to indemnify and hold harmless Digital Nexus Inc. from claims arising from:
- your use of the Service
- your Customer Data
- your violation of these Terms
- your business operations
20. Governing Law
These Terms are governed by the laws of the State of Delaware.
Any disputes shall be resolved in Delaware courts.
21. Changes to Terms
We may update these Terms from time to time.
We will provide reasonable notice.
Continued use of the Service constitutes acceptance of updated Terms.
